WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate, reliable, or complete
• Any AI-generated prediction, projection, confidence score, or analysis will be correct
• The quality of any information obtained through the Service will meet your expectations
• Any errors in the Service will be corrected
• The Service will be compatible with any particular hardware or software configuration

ANY CONTENT DOWNLOADED FROM OR OTHERWISE OBTAINED THROUGH THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR LOSS OF DATA THAT RESULTS THEREFROM.

8. WAIVER OF CLAIMS

To the maximum extent permitted by applicable law, you hereby irrevocably and unconditionally waive, release, and discharge Pipeline Alpha, its officers, directors, employees, agents, affiliates, successors, and assigns from any and all claims, demands, actions, causes of action, damages, losses, costs, expenses, and liabilities of any kind whatsoever, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to:

• Your use of or reliance on AI-generated predictions, projections, analyses, confidence scores, signals, briefings, or any other content provided by the Service
• Any investment decisions, trades, or financial actions you take based in whole or in part on information from the Service
• Any financial losses, trading losses, or damages of any kind that you incur
• Inaccuracies, errors, omissions, or delays in the content or data provided by the Service
• Interruptions, outages, or unavailability of the Service

You expressly waive any rights you may have under any statute or regulation that would otherwise limit the scope of this waiver, including without limitation California Civil Code Section 1542 or any analogous law in any jurisdiction, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

You agree to indemnify, defend, and hold harmless Pipeline Alpha, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any investment decision or financial action taken based on information obtained through the Service.

10. Account Terms

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the Service or its related systems
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or algorithms of the Service

• Redistribute, resell, sublicense, or commercially exploit any content from the Service without authorization
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to generate content for the purpose of market manipulation or securities fraud

12. Intellectual Property

The Service and all of its contents, features, and functionality — including but not limited to text, graphics, logos, icons, data compilations, software, algorithms, AI models, and analytical outputs — are owned by Pipeline Alpha or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial research purposes, subject to these Terms.

13. Data Accuracy and Third-Party Data

The Service aggregates and presents data from various sources, including publicly available databases, regulatory filings, news sources, and third-party data providers. We do not guarantee the accuracy, completeness, or timeliness of any data obtained from third-party sources. Data may contain errors, omissions, or delays. You acknowledge that we are not responsible for verifying the accuracy of third-party data and that you use such data at your own risk.

14. Subscription and Payments

Certain features of the Service may require a paid subscription. Subscription fees are billed in advance on a recurring basis. You agree to pay all fees associated with your chosen plan. 15. Termination

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. You agree to waive your right to a jury trial and to participate in any class action or representative proceeding.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND PIPELINE ALPHA EACH WAIVE ANY RIGHT TO A JURY TRIAL.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Pipeline Alpha regarding the use of the Service and supersede all prior agreements, understandings, and communications.

20. Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms. It is your responsibility to review these Terms periodically.

21. No Waiver

The failure of Pipeline Alpha to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Pipeline Alpha.
